Switzerland (referred to herein as "AquaCredit," "we," "us," or "our") provides this website, platform, and related services (collectively, the "Service") to you, the user ("User" or "you"), conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

BY ACCESSING OR USING ANY PART OF THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

1. Scope and Acceptance of Terms

1.1. Agreement: These T&C constitute a legally binding agreement between you and AquaCredit regarding your use of the Service.
1.2. Eligibility: You affirm that you are of legal age to form a binding contract in your jurisdiction and that you are not barred from using the Service under applicable law. If you are accessing the Service on behalf of an entity (e.g., as an ESG Officer or Developer), you represent that you have the authority to bind that entity to these T&C.
1.3. Modifications: We reserve the right to update, change, or replace any part of these T&C at any time. We will provide notice of significant changes through the Service or via email. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes.

2. Platform Description and Risk Acknowledgment

2.1. Service Summary: AquaCredit is a technology platform developed by GreenChain that facilitates the tokenization of verified water sustainability actions into digital water credits (ACT). The Service involves the use of IoT devices (the "AquaCredit Box") for verification, blockchain technology, and smart contracts for autonomous token minting.
2.2. Not a Financial Institution: AquaCredit is a technology service provider and is not a bank, financial institution, money services business, or fiduciary. We do not provide financial advice, investment recommendations, or custody of fiat currency.
2.3. Acknowledgment of Digital Asset Risk (CRITICAL):
* Price Volatility: The value of ACT tokens and other digital assets is highly volatile and inherently unpredictable. You acknowledge that you may lose the entire value of your investment.
* Regulatory Risk: The regulatory landscape governing blockchain, digital assets, and smart contracts is uncertain and constantly evolving. New regulations may materially impact the utility, value, or legality of the Service and ACT tokens.
* Smart Contract Risk: The functionality of the Service relies on smart contracts. You acknowledge the inherent risk of code defects, exploits, or failures in these smart contracts, which could result in the loss of tokens or data.
* Technology Risk (IoT/Blockchain): The functionality relies on the secure, continuous operation of the AquaCredit Box, the underlying blockchain network, and the internet. You acknowledge the risk of network failures, hacking, or technical issues that could disrupt the Service.
2.4. No Guarantees: AquaCredit makes no guarantee regarding the future value, liquidity, or regulatory status of ACT tokens or the effectiveness of water-saving projects.

3. User Accounts and Conduct

3.1. Account Responsibility: You are responsible for all activities that occur under your account, including maintaining the confidentiality of your credentials (especially for the Developer and Investor Portals). You agree to notify us immediately of any unauthorized use.
3.2. Prohibited Uses: You may not use the Service for any unlawful purpose, to solicit others to perform or participate in any unlawful acts, to violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances, or to interfere with the security features of the Service.
3.3. Specific Portal Use:
* Developer Portal: Access is granted for the sole purpose of integrating with the AquaCredit API/SDK. Any scraping, unauthorized copying of documentation, or use for malicious purposes is strictly prohibited.
* Investor Portal: Information within secured sections is strictly confidential and must not be shared without prior written consent from AquaCredit.

4. Intellectual Property Rights

4.1. Ownership: All content on the website, including text, graphics, logos, the design of the AquaCredit Box, the underlying technology, and the structure of the ACT smart contracts, is the property of AquaCredit or its licensors (including GreenChain) and is protected by copyright and intellectual property laws.
4.2. License to User: We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for its intended purpose, strictly in accordance with these T&C.
4.3. Restrictions: You are prohibited from reproducing, duplicating, copying, selling, reselling, or exploiting any portion of the Service, use of the Service, or access to the Service without express written permission from us.

5. Third-Party Services and Links

5.1. Third-Party Providers: The Service may utilize third-party components (e.g., payment processors, blockchain explorers, or data analytics tools). We are not responsible for examining or evaluating the content, accuracy, or security of such third-party services.
5.2. External Links: Links to third-party websites (including regulator or partner sites) are provided for your convenience. We do not endorse and have no responsibility for the content, privacy policies, or practices of any third-party websites or services.

6. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT, INCLUDING THE FUNCTIONALITY OF THE AQUACREDIT BOX AND SMART CONTRACTS, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. AQUACREDIT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

The Service will be uninterrupted, timely, secure, and error-free.

The results obtained from the use of the Service will be accurate or reliable.

Any errors in the Service will be corrected.

7. Limitation of Liability and Indemnity

7.1. Limitation of Liability: IN NO CASE SHALL AQUACREDIT, OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICE OR ANY PRODUCTS PROCURED USING THE SERVICE, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICE OR ANY PRODUCT.


7.2. Maximum Liability: If, notwithstanding the foregoing, AquaCredit is found liable, our total liability to you for all damages, losses, and causes of action shall in no event exceed the amount paid by you, if any, for accessing the Service in the twelve (12) months preceding the claim.
7.3. Indemnification: You agree to indemnify, defend, and hold harmless AquaCredit and our parent company (GreenChain), subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these T&C or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

8. Governing Law and Dispute Resolution

8.1. Governing Law: These T&C and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Switzerland or the relevant EU Member State, without regard to its conflict of law principles.
8.2. Informal Dispute Resolution: You agree to first attempt to resolve any dispute, controversy, or claim arising out of or relating to the Service informally with us for at least sixty (60) days before initiating any arbitration or court proceeding.
8.3. Arbitration (Optional, but Recommended for Crypto): Any remaining disputes shall be settled by binding arbitration in accordance with the rules of [Insert Arbitral Institution, e.g., the International Chamber of Commerce (ICC)], and the seat of arbitration shall be Zurich, Switzerland.
